1. Agreement to terms

These Terms, together with our Privacy Policy (collectively, the "Agreement"), form a binding agreement between you and Invigor8. The Agreement applies to all visitors and users. Supplemental terms may apply to specific features; those terms are incorporated by reference. In the event of a conflict, the supplemental terms govern for that feature. 2. Intellectual property rights

Unless otherwise indicated, the Site and its entire contents, features, and functionality (including text, graphics, logos, images, video, audio, software, databases, and design) are owned by Invigor8, its licensors, or other providers and are protected by United States and international intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial use in accordance with these Terms. No right, title, or interest is transferred to you except as expressly stated.

3. User representations

By using the Site, you represent and warrant that: (1) you have the legal capacity to agree to these Terms; (2) you are not a minor in your jurisdiction of residence, or if you are a minor, you have obtained parental or guardian consent; (3) you will not use the Site for any illegal or unauthorized purpose; and (4) your use will comply with all applicable laws and regulations.

4. User registration

Certain features may require registration or submission of information. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for safeguarding any credentials and for all activity under your account. 5. Prohibited activities

You may not access or use the Site except as permitted by these Terms. Without limitation, you agree not to:

• Violate any law or third-party right;
• Harass, abuse, defame, threaten, or discriminate against others;
• Upload or transmit malware, spam, or disruptive code;
• Scrape, data-mine, or use automated means to access the Site without permission;
• Attempt to gain unauthorized access to systems, accounts, or data;
• Impersonate any person or entity or misrepresent your affiliation;
• Use the Site to transmit unsolicited advertising without consent;
• Interfere with or burden the Site's operation or other users' enjoyment;
• Frame or mirror the Site without authorization;
• Use the Site in any manner that could disable, overburden, or impair our servers or networks.

6. User-generated contributions

The Site may allow you to post, submit, or share content ("Contributions"). You are solely responsible for your Contributions. You represent that you own or have the rights to post your Contributions and that they do not violate these Terms or any third-party rights. Community content is for general encouragement and education—not a substitute for professional medical advice.

7. Contribution license

By submitting Contributions, you grant Invigor8 a non-exclusive, worldwide, royalty-free, perpetual, irrevocable (except as limited by law) license to use, reproduce, modify, display, distribute, and create derivative works from your Contributions in connection with operating, promoting, and improving the Site and our services. You waive any moral rights to the extent permitted by law.

8. Submissions

You acknowledge that any questions, comments, suggestions, ideas, or other feedback you provide ("Submissions") are non-confidential and become our property. We may use Submissions for any purpose without obligation or compensation to you, except where prohibited by law.

9. Site management

We reserve the right, but not the obligation, to monitor the Site; remove or refuse any content; restrict access; and take technical and legal steps we deem necessary to enforce these Terms and protect users and Invigor8.

10. Term and termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access at any time, with or without cause or notice. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution) will survive termination.

11. Modifications and interruptions

We may change, suspend, or discontinue the Site or any part of it at any time. We may revise these Terms by posting an updated version on the Site; the "Last updated" date will change. Your continued use after changes constitutes acceptance unless applicable law requires otherwise. We do not guarantee uninterrupted access to the Site.

12. Governing law

These Terms are governed by the laws of the State of Oregon and applicable federal law of the United States, without regard to conflict-of-law rules. You agree that Invigor8 operates in connection with activities in Oregon and Hawaii; choice of law does not waive any defense relating to jurisdiction.

13. Dispute resolution

Informal resolution. Before filing a claim, you agree to contact us through https://invigor8medical.com/contact.html and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by a recognized arbitration provider in Oregon, under its applicable rules, except that either party may seek injunctive relief in court for intellectual property or misuse of the Site. Class action waiver: You and Invigor8 agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding, to the fullest extent permitted by law.

If any part of this section is unenforceable under applicable law, the remainder remains in effect.

14. Corrections

There may be errors, inaccuracies, or omissions on the Site. We reserve the right to correct errors, update information, and change or update content at any time without prior notice.

15. Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVIGOR8 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. CONTENT IS FOR GENERAL INFORMATION AND COMMUNITY SUPPORT ONLY AND IS NOT MEDICAL ADVICE; ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTH PROFESSIONAL FOR PERSONAL MEDICAL QUESTIONS.

16. Limitations of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INVIGOR8, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Invigor8 and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Contributions, your use of the Site, your violation of these Terms, or your violation of any third-party right.

18. User data

We may maintain certain data you transmit to the Site for operation, analytics, and as described in our Privacy Policy. You are responsible for your data and for backing up any content you care about. We are not liable for loss or corruption of data except as stated in the Privacy Policy or required by law.

19. Electronic communications, transactions, and signatures

You consent to receive communications from us electronically (for example, email or notices on the Site). You agree that electronic agreements, notices, and disclosures satisfy any legal requirement that such communications be in writing. You agree to the use of electronic records and signatures.

20. Miscellaneous

These Terms constitute the entire agreement between you and Invigor8 regarding the Site and supersede prior agreements on that subject. Our failure to enforce any provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them freely. Section headings are for convenience only.

SMS messaging terms

If you opt in to SMS or MMS messages from Invigor8, LLC, you agree to receive messages related to the weight loss community, account notices, or programs you signed up for, as described when you provided your mobile number.

Eligibility. You must be 18 years of age or older to use this SMS service.

Message frequency & rates. Message frequency varies. Message and data rates may apply.

Opt-in. We send promotional or marketing texts only with your express consent (for example, via the web form on https://invigor8medical.com/contact.html, a checkbox, or a keyword as disclosed for that program).

Opt-out. You can opt out of promotional SMS by following instructions in the message (for example, replying STOP). You may receive a one-time confirmation. You may also request removal or changes through https://invigor8medical.com/contact.html.
